Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On October 8, 2020, MicroVision, Inc. (the Company) filed a Certificate of Amendment (the Certificate of Amendment) to its Amended and Restated Certificate of Incorporation (the Certificate of Incorporation) with the Secretary of State of the State of Delaware to increase the authorized number of shares of the Companys capital stock to 235,000,000 shares, consisting of (i) 210,000,000 shares of common stock, $.001 par value (Common Stock) and (ii) 25,000,000 shares of preferred stock, $.001 par value. The Certificate of Amendment was effective upon the filing thereof with the Secretary of State of the State of Delaware. The Certificate of Amendment is filed as Exhibit 3.1 to this Current Report on Form 8-K.
Item 5.07. Submission of Matters to a Vote of Security Holders.
The special meeting of stockholders of the Company was held on October 8, 2020, pursuant to notice duly given. The stockholders voted on two proposals, which are described in detail in the Companys definitive proxy statement filed with the Securities and Exchange Commission August 25, 2020.
The results are as follows:
